Brazilian firms act in agreement between Nuvini and Mercato

Tauil & Chequer Advogados associated with Mayer Brown in the United States has advised the holding company of software companies Nuvini in a US$312 million business combination agreement between the Nuvini Group and SPAC Mercato. Machado Meyer Advogados and Latham & Watkins represented SPAC Mercato Partners.

Upon completion of the proposed business combination, the combined company will operate under the Nuvini name and its shares are expected to be listed on Nasdaq under the symbol NVNI. The company expects the transaction to provide Nuvini Group with broader access to the capital markets, positioning it as one of the leading consolidators of SaaS (Software as a Service) companies in its portfolio, in Latin America.

The Tauil e Chequer team in Brazil was led by partners Carlos Motta (pictured left) and Rodolfo Tella (pictured center left), with the participation of partner Celso Grisi (pictured center right). In addition, associates Giampaolo Marzulli, Dianie Teixeira, Isabela Franco, and Natália Minotto also participated in the case. In the United States, partners Edward Best and Esther Chang led the team, with participation from associates Matthew Streit, Milena Muradian, Gonzalo Go, Marissa Dressor, Adam Lerner, James Alford, Ping Hsu, and Natalie Narae Kim.
