Brazilian law firms advises on Infracommerce CXAAS issue
.Mattos Filho advised Infracommerce CXAAS on the private placement of its 3rd issuance of convertible debentures, secured by collateral and additional personal guarantees, in the approximate amount of R$833 million. Pinheiro Guimarães advised ABC Brasil, Banco do Brasil, Banco Santander (Brasil), Itaú Unibanco and Vermelha do Norte.
The transaction was structured in two series, with a five-year maturity term, and forms part of the legal and financial measures adopted to implement the Company’s restructuring plan. The plan, developed in coordination with the company’s main creditors, aimed to rebalance its capital structure, consolidate its operations across Latin America, and enhance operational performance.
The proceeds raised by the company through the issuance of the debentures were used to settle the debts subject to restructuring and to fund a capital increase in New Retail IFC Brasil, the company’s wholly owned subsidiary. As a result, the company now holds 100% ownership and control of its operations in the other Latin American countries (Argentina, Chile, Colombia, Peru, Uruguay, Mexico, Ecuador, and Panama).
