Brazilian law firms on GIC’s acquisition of a stake in Neoenergia

Stocche Forbes advised Warrington Investment (an affiliate of GIC) on the acquisition of a 50% of equity interest in Neoenergia Transmissora, which shall hold eight energy transmission assets totaling 1.9 thousand km of transmission lines. TozziniFreire advised Neoenergia on this transaction.

The transaction, which involves payment of BRL 1,2 billion, also includes a framework investment agreement governing the joint participation of GIC and Neoenergia in future electricity transmission auctions and preference rights for GIC to purchase other transmission assets currently under construction by Neoenergia.

This is a landmark transaction, whereby GIC enters the transmission sector in Brazil and forms a platform/joint venture with Neonergia (one of the most relevant players in the energy sector in Brazil). Neoenergia has been one of the most succesful players in recent transmission auctions in Brazil, and the new platform is well positioned to participate competitively in the very relevant upcoming auctions expected for the next years.
