Bruchou acts in the issuance of Tecpetrol’s Notes
Bruchou & Funes de Rioja acted as local counsel to the underwriters in the issuance and placement of Tecpetrol’s USD $400,000,000 fixed rate 7.625% Notes due 2033.
The Notes were issued on 22 January and placed pursuant to Rule 144A and Regulation S under the US Securities Act of 1933. Tecpetrol will use the proceeds of the placement in accordance with the requirements of Section 36 of the Negotiable Obligations Act.
Other firms advising on the transaction were FINMA as counsel to Tecpetrol in Argentina, and Linklaters as counsel to Tecpetrol in New York; while A&O Shearman acted as legal counsel to the initial purchasers in New York.
Banco Santander Argentina, Banco de Galicia y Buenos Aires, Macro Securities and Balanz Capital Valores acted as local underwriters.
Tecpetrol is a leader in the oil and gas industry and its activities include the exploration, exploitation and transportation of hydrocarbons.
FINMA’s team included the participation of Fernando Moreno and Clara Sereday.
