Bruchou assists José M. Alladio e Hijos in merger with Mabe

Bruchou, Fernández, Madero & Lombardi has counselled the household appliance company on its sale to the multinational Mabe

Bruchou, Fernández, Madero & Lombardi has assisted the founding family of José M. Alladio e Hijos S.A., a leading manufacturer of washing machines, dishwashers, dryers and other household appliances in Argentina, in its integration with Controladora Mabe and Kronen Internacional.

Mabe acquired 100% of the shares of José M. Alladio e Hijos, including four industrial plants in Argentina, three of them in the province of Córdoba, a washing machine plant in Luque, a dishwasher plant in Luque and a washing machine and dryer plant in Río Segundo.

In this transaction, Marval O’Farrell Mairal advised the buyers, while PriceWaterhouseCoopers acted as financial advisor.

Mabe is a Mexican multinational company that designs, produces and distributes household appliances to more than 70 countries around the world. In 1987, it partnered with General Electric for the production and marketing in some areas of household appliances. It has 19 brands and produces 14 million units per year; in Latin America it has 14 industrial plants.

The company has been present in Argentina since the late 1990s, producing and marketing Patrick products at its plant in the city of San Luis. Thanks to this acquisition, it will be renamed Mabe Argentina, once the merger process between Kronen Internacional S.A., the local company already owned by Mabe in Argentina that produces Patrick refrigerators, and José M. Alladio e Hijos S.A. is completed.

Marval O’Farrell Mairal’s team consisted of partners Ricardo A. Ostrower and Bárbara V. Ramperti together with associates Mariano M. Morat and Daiana Veira.

Bruchou’s team was comprised of partner Estanislao Olmos (pictured left), together with associate Pilar Marcó (pictured right).
