Bruchou & Funes de Rioja represents on Arcos Dorados’ $600M Notes Issuance

Bruchou & Funes de Rioja has advised the initial purchasers on Arcos Dorados B.V.’s issuance of US$600 million in senior notes due 2032. Arcos Dorados B.V., a Dutch private limited liability company, issued the 6.375% Senior Notes with a maturity date of January 29, 2032.

The notes are fully and unconditionally guaranteed by Arcos Dorados Holdings, the British Virgin Islands-based parent company, and several of its subsidiaries, including Arcos Dorados Argentina.

The Initial Purchasers, comprising BBVA Securities, Citigroup Global Markets, Itau BBA USA Securities, J.P. Morgan Securities, Santander US Capital Markets, and Balanz Capital UK, were represented by Bruchou & Funes de Rioja as Argentine legal counsel.

Arcos Dorados Argentina was internally advised by Juan David Bastidas, chief legal counsel and compliance, María Cecilia Aicardi, as legal director for the South Latin America division, and María Victoria Bellocq, as legal manager for corporate affairs.

The special legal counsel in the United States was comprised by Davis Polk & Wardwell, through the team led by partner Maurice Blanco (pictured center), associate Agustín Lopez Roulades and foreign temporary associate Carolina De Narváez.

Special legal counsel to the company in Argentina regarding corporate matters was comprised by Brya Abogados through the team led by associate Eleazar Christian Meléndez.

The special legal counsel to the initial purchasers in the United States was done by Milbank, through the team led by partner Marcelo A. Mottesi (pictured right), special counsel Gonzalo Guitart, associate Marco Zaldivar, and international attorney Manuel H. Etchevehere.

The Argentine legal counsel to the initial purchasers was led by Bruchou & Funes de Rioja with partner Analía Battaglia (pictured left), and support from associates Ramón Augusto Poliche and Quimey Waisten.
