Bruchou guides Globant in Grupo Assa buyout

Argentinian technology services company Globant has acquired Buenos Aires-based digital and cloud transformation services company Grupo Assa

Globant acquired 100 per cent of the capital stock of Grupo Assa Worldwide, subject to certain adjustments and installments, including an earn-out based on certain revenue targets, while part of the consideration is payable in equity of Globant S.A.

Globant is NYSE-listed since 2014 and uses digital platforms and transformation services to empower large companies in the Americas and Europe to reformulate their business models and organisations by harnessing the insights and power of data, AI and people.

Globant was advised on the takeover by Argentinian law firm Bruchou, Fernández Madero & Lombardi, through its M&A partners Estanislao H. Olmos (pictured) and Alejandro Perelsztein, along with associate Juan José Romano Blanco. Partners Gabriel Lozano (antitrust) and Daniela Rey (tax), as well as senior associates Florencia Angélico and Geraldine Moffat, and associates David Kahansky, Facundo Palczikowski, and Mayra Mammana. 

On the financing side, the IFC was assisted by Becker, Glynn, Muffly, Chassin & Hosinski through its partner Peter Hosinski and associate Andrés Sardi Garcia, while HSBC was assisted by Robinson & Cole, through its partner Stephen Hanson.

Globant was assisted by Pablo Rojo, its external counsel for M&As and strategic matters, along with Beatriz Breccia, along with Sol Noello, Globant’s general counsel, and Laura Navarro, the company’s in-house corporate counsel.
