Carey advises Vela Software on Samtech acquisition
Carey has advised Vela Software Group on the acquisition of Samtech Chile. This transaction was closed on 3 April and involved the jurisdictions of Canada, Chile and Colombia.
The transaction involved conducting and supervising due diligence of the target companies in Chile and Colombia; negotiating share purchase agreements and other ancillary agreements in two jurisdictions; structuring foreign investment and intercompany flows for the payment of the price; and coordinating interdependent closings in Chile and Colombia.
Other participating firms were Arnold & Porter and PPU Colombia as advisors to Vela Software internationally and in Colombia, respectively. Dalgalarrando y Cía acted as advisor to Samtech Chile and Samtech Colmbia, as well as to Asesorías e Inversiones Flandes, Asesorías San Gabriel and Asesorías e Inversiones Capa Limitada, as sellers. In addition, EY Consulting acted as financial advisor to Vela Software.
Vela Software Group is a group of technology companies focused on the needs of high-risk, capital-intensive industries with a large number of workers.
Samtech is a fleet and machinery monitoring and management company and a provider of telematics software and hardware for monitoring operations in the mining, construction and vehicle leasing industries in Chile and Colombia.
