Carey assists Codelco in jv with Rio Tinto for mining project
Carey has assisted Chile’s National Copper Corporation (Codelco) in a joint venture with Rio Tinto as shareholders in the Nuevo Cobre (formerly Agua de la Falda) company to develop a copper mining project in the Atacama Region.
This transaction was closed on 6 November, with Cariola Díez Pérez-Cotapos and Lawson Lundell advising Rio Tinto in Chile and internationally, respectively.
The advice involved the preparation and negotiation of a shareholders’ agreement, its annexes, and other documents required for the association. In addition, this transaction was the result of a long negotiation process that took more than a year, due to the size and relevance of the parties involved, and the characteristics of the joint venture.
This partnership involves two of the largest mining companies in the world, and will allow exploration and development activities at Nuevo Cobre to begin, with a commitment to the highest standards of health, safety, community relations and environmental care.
Rodrigo Leichtle acted as in-house counsel to Codelco, while Cayley Ennett and Keenan Hohol provided in-house counsel to Rio Tinto.
Cariola’s team comprised partner Gonzalo Grez and associates Patricio Turner, Pablo Sotomayor, Cristóbal Herrera and Teresita Melero.
Lawson Lundell’s team was represented by partner Khaled Abdel-Barr.
Carey’s team was led by partner Cristián Eyzaguirre (pictured), with support from associates Maximiliano Urrutia, Enzo Devoto, José Pedro Fuentealba and María Paz Arteaga.
