Carey has assisted Actis and Mainstream Renewable Power in negotiating the contract for the sale of Aela Energía, Chile’s largest independent renewable energy producer, to Canadian developer Innergex Renewable Energy.
The transaction, which closed on 3 February, sees Aela Energía become part of Innergex, which just a week ago acquired the San Andrés wind farm.
Aela Energía is owned by a joint venture between Actis (60%) and Mainstream Renewable Power (40%), a global developer of renewable energy projects. Aela’s portfolio consists of three wind farms: Sarco (170 MW), Aurora (129 MW) and Cuel (33 MW); and sells its energy through power purchase agreements with Chilean distribution companies.
In this transaction, Clifford Chance acted as international advisor to Aela, while DLA Piper advised Innergex. Credit Suisse acted as financial advisor. Diego Corp represented Aela as its in-house counsel.
Clifford Chance’s team was led by partner Nicholas Hughes, with associates Samuel Monk, Mayowa Kalesanwo, Miguel de Seixas Baptista and Sami Rahim.
