Carey counsels Aurus Capital on TI Mining investment
Law firm Carey has advised Aurus Ventures III, a venture capital fund under the administration of Aurus Capital, on an investment in TI Mining, a Chilean company that develops software for the management and optimisation of large-scale mining operations.
TI Mining’s clients include Chile’s largest mining companies.
Carey’s role included the structuring of the investment and the drafting and negotiation of the transaction documents, such as the shareholders agreement, capital increase resolution, and share purchase agreements, among other tasks.
The Aurus Ventures III investment totalled $3.8 million.
The transaction also included a co-investment in TI Mining by CLIN Fondo de Inversión Privado, a venture capital fund managed by Fundación Chile, a Chilean NGO that promotes innovation and technology.
Carey’s team was led by partner Francisco Guzmán (pictured), with associates Carlos Alcalde, Benjamín García and Andrés Latorre.
Larraín y Asociados acted as counsel to TI Mining, while Guerrero Olivos as counsel to CLIN Fondo de Inversión Privado.
