Carey counsels EPCM in acquisition in Nueva Ancor Tecmin

Carey has counselled EPCM Group in the acquisition of the shares that Fondo de Inversión Privado Venture Equity holds in Nueva Ancor Tecmin, corresponding to an 80% stake in the company, for an initial amount plus adjustments.

Through this transaction, EPCM became the majority shareholder of the company by acquiring 80% of the shares from Fondo de Inversión Privado Venture Equity, an important investment fund in our country. During the negotiation, a payment structure was agreed upon that included an initial amount, a guarantee agreement and earn-out, cash and net working capital adjustments, which added multiple negotiations and strategic planning.

The transaction was completed on September 11 and involved the jurisdictions of Canada and Chile. ACU Abogados – Atkinson Costabal Undurraga Achurra acted as advisor to the Fondo de Inversión Privado Venture Equity, while Landmark Alantra Group acted as financial advisor.

Nueva Ancor Tecmin is a world leader in polymer concrete technologies and other composite materials, especially in Supertank electrolytic cells, capping boards, aeration systems and other accessories. The company has extensive experience in the design, manufacture and commissioning of polymer concrete electrolytic cells in major refineries around the world, and is continuously developing new technologies aimed at solving various mining process problems and improving productivity.
