Carey counsels Tessi in Latin America stake increase

Chilean law firm Carey has counselled business process outsourcing company Grupo Tessi on the acquisition of minority interests in its Latin American companies owned by third parties.

jorge ugarte CareyThe law firm’s role included the preparation and negotiation of share purchase agreements throughout different jurisdictions and other related documents thereto, as
well as the corporate restructuring of the group.

The work implied the negotiation and cooperation between the majority shareholders and partners with the minority shareholders and partners in several jurisdictions, and who had a long history in the industry and in the development of the companies of the group, Carey said.

Carey acted as counsel to Tessi in Chile, regarding the company’s local subisidiaries DiagonalGest Chile and Gestión Externa), while law firm Roca Junyent acted as counsel to Tessi in Spain, Brigard & Urrutia acted as counsel to Tessi in Colombia and Elías & Medrano acted as counsel to Tessi in Peru.

Greenberg Traurig was Tessi’s counsel in Mexico.

Carey’s team comprised partners Jorge Ugarte (pictured), Manuel José Garcés, and Ricardo Reveco, with associates Angélica De la Carrera, Carla Karzulovic, Domingo Russi, Francisco Torm, Pamela Morales, Roberto Villaseca, and Tomás Appelgren.
