Carey represents Liberty in deal with América Móvil for control of Claro Chile

Carey has represented Liberty Latin America in the negotiation of the agreements under which America Móvil will take control of Claro Chile (ClaroVTR).

Through the capitalisation of convertible promissory notes issued and subscribed by ClaroVTR in connection with the financing granted to the company, America Móvil will hold approximately 91% of the share capital and Liberty Latin America will hold approximately 9% of the share capital. The transaction is subject to regulatory approval by the National Economic Prosecutor’s Office (FNE, Fiscalía Nacional Económica).

The transaction, completed on 24 June, was valued at USD $1.16 million and involved the jurisdictions of Mexico, the United States and Chile. Baker & Botts and Ferrada Nehme also acted as advisors to Liberty; while Cariola Díez Pérez-Cotapos, Freshfields Bruckhaus Deringer, and Pellegrini & Rencoret acted as advisors to América Móvil.

In-house counsels on the transaction were John Winter for Liberty and Alejandro Cantú Jiménez for América Móvil.

Baker Botts’ team consisted of partner James Marshall together with associate Henry Klimowicz.

Cariola Diez Pérez Cotapos’ team included partner Juan Pablo Matus and associate María Jesús Kipreos.

Freshfields Bruckhaus Deringer’s team was represented by partner Andrea Basham and associate Elen Shlyakhanova.
