Cariola advises Esmax on company registration and issuance
Cariola Díez Pérez-Cotapos assisted the fuel and lubricants company Esmax in company registration and issuance of a notes programme
Chilean law firm, Cariola Díez Pérez-Cotapos has advised the fuel and lubricants company Esmax Distribución SpA as issuer in respect of the registration of the company as a new issuer, and the registration and issuance of a 10-year unsecured note programme.
The transaction was closed on March 24, and had a value of 2 million UF ($80,500,000 dollars).
Funds raised from the notes will be used to refinance short-term bank debt as well as investment projects of the issuer. The notes were structured by Scotiabank Chile and placed by Scotia Corredora de Bolsa Chile Limitada.
Esmax is a Chilean company with more than 100 years of experience in the fuels and lubricants market, operator of the Petrobras licence in Chile since January 2017.
Cariola’s team was led by partner Rodrigo Sepúlveda (pictured left) along with associate Cristóbal Morales (pictured right), while Patricia Figueroa acted as In-house counsel to the issuer.
