Cariola represents Soprole in term loan with HSBC

Cariola Díez Pérez-Cotapos has represented Soprole, a Chilean dairy distributor and Chilean subsidiary of New Zealand holding company Fonterra Co-Operative Group Limited, as borrower, in connection with a term loan agreement entered into with The Hongkong and Shanghai Banking Corporation Limited (HSBC), acting through its Hong Kong branch, as lender.

The loan of $120,000,000,000 Chilean pesos (approximately US $130,000,000) was denominated in Chilean pesos, drawn and payable in US dollars. The loan agreement was subject to Hong Kong law.

This transaction was executed on 10 November 2022, with Mayne Wetherell (New Zealand) acting as New Zealand counsel to Fonterra, DLA Piper Hong Kong acting as Hong Kong counsel to HSBC and DLA Piper Chile acting as Chilean counsel to HSBC.

Igal Schonberger acted as in-house lawyer to Soprole.

Mayne Wetherell’s team included Helena Brandon and Selena Ballantyne.

DLA Piper’s Hong Kong and Chile teams were represented by Naomi Hong and Natalia Cox, respectively.
