Cescon Barrieu acts in acquisition of GRI in favor of Cetrel
Cescon Barrieu acted as advisor to Solví Essencis Ambiental, in the acquisition by Cetrel of 100% of the shares issued by GRI – Gerenciamento de Resíduos Industriais, previously owned by Solví Essencis Ambiental (with 50.1% of the shares) and Braskem (with 49.9% of the shares).
The strategic partnership aims to strengthen Cetrel, a leader in industrial environmental solutions (for water and effluent treatment, as well as environmental consulting), and to transform GRI – Gerenciamento de Resíduos Industriais into an operational platform for national growth in the sector, ensuring operational excellence and environmental sustainability. As a result of the transaction, Cetrel is now present in 15 states and has more than 100 operating units throughout the country.
In the transaction, completed on December 4, Lobo de Rizzo advised Braskem, while Arap Nishi & Uyeda advised Cetrel.
The advisory services involved support throughout the process of preparing, reviewing and negotiating the drafts of the transaction documents, as well as designing the structure of the transaction.
Cetrel started its activities in 1978, next to the Camaçari Industrial Park, in Bahia. Today, Cetrel has more than 200 active clients in almost all regions of the country, including important companies in the Brazilian industrial sector. Of this total, around 80 clients are continuously served with industrial water supply, effluent treatment and waste disposal services in the Camaçari Industrial Park.
GRI – GERENCIAMENTO DE RESÍDUOS INDUSTRIAIS operates in industrial waste management. After receiving assets from GRI Koleta – Gerenciamento de Resíduos Industriais and Solví, GRI was born with a turnover of 750 million reais.
Alessandra Muller and Marcela Arbach acted as in-house legal counsels to Solví, while Tiago Tebecherani and Cristiane Silvestre acted as in-house counsels to Braskem.
