Cescon Barrieu advised Edenred on the acquisition of Gointegro

Cescon Barrieu advised Edenred in partnership with Cuatrecasas on the acquisition of 75% of the share capital of GOintegro, a Latin American provider of a SaaS HR/employee engagement platform.

GOintegro offers a broad range of engagement solutions, designed to help companies enhance their organizational culture and be an employer of choice in attracting and retaining talents.

Edenred has successfully extended its portfolio into non-meal and food benefits over the years and already developed employee savings and benefits management platforms in 12 countries. However, the acquisition of GOintegro marks a new step forward in the rollout of Edenred’s strategy, as it helps the Edenred Group accelerate the expansion of its employee benefits offer in Latin America’s rewards, recognition and well-being markets. In addition, since GOintegro provides solutions through a multi-module platform available in seven different Latin American countries, it was a cross-border deal of great magnitude and was subject to the approval of the Brazilian competition authority – which means the teams of different countries and expertises had to work around the clock to coordinate the execution of every step of the transaction.

The transaction value was not disclosed.

Cescon Barrieu advised Edenred and relied on partners Cristina de Freitas Bueno, Isabela Coelho and Ricardo Lara Gaillard (pictured from left to right); associates Mariana Bulcão, Thales Lima, Thales Lemos and Isabela Oliveira.

Cuatrecasas was local office that advised Edenred and was responsible for centralising communications during the process.
