Cescon Barrieu and Lefosse act on Athena Saúde Brasil’s issuance

Cescon Barrieu advised Athena Saúde Brasil on its third issuance of nonconvertible, unsecured debentures, in a single series, for the public distribution, without regulatory prior analysis, aimed to professional investors, under the CVM 160, in the total amount of BRL 890 million.

The debentures were guaranteed by Samp Espírito Santo Assistência Médica, Humana Saúde, Humana Saúde Nordeste and Athena Healthcare Holding.

The offering was intermediated by underwriters Itaú BBA Assessoria Financeira, Banco Citibank, Banco Santander (Brasil) and UBS Brasil Corretora de Câmbio, Títulos e Valores Mobiliários, which was adivised by Lefosse.

The offering helped the issuer to refinance and extend its financial indebtedness and develop its activities in the health care sector. The offering was implemented within the timeline required by the issuer’s schedule with the conciliation of interests of all the involved parties, cherishing technical excellency and the appropriate legal solution for the challenges encountered.
