Cescon Barrieu and TozziniFreire advise on Braz & Braz issue

Cescon Barrieu advised Braz & Braz on the first issuance of debentures, subject to private placement, fully subscribed by Vert Companhia Securitizadora, which ws advised by TozziniFreire Advogados.

The debentures of Vert’s third issuance, subject to public offering, pursuant to CVM 160, for the purposes of the fiduciary regime for securitization transactions in Brazil, were backed by the backing debentures. The Debentures are secured by: personal guarantee provided by Ricardo Gomes Braz, FZ Motors Comércio de Automóveis, Braz Prime Serviços and GBBS Log EIRELI; fiduciary assignment of receivables held by the company as a result of vehicle lease agreements and of an escrow account; and promise of fiduciary sale of vehicles held by the company.

The use of proceeds from the cacking debentures will be to purchase new vehicles for its fleet.
