Cescon Barrieu assists underwriter in debentures issue by Cidade Maravilhosa
Cescon Barrieu Advogados advised Banco Santander (Brasil) S.A. on debentures issue by Cidade Maravilhosa Indústria e Comércio de Roupas S.A.
First issue of debentures non convertible into shares, for public distribution with restricted placement efforts, by Cidade Maravilhosa Indústria e Comércio de Roupas S.A. in accordance with CVM Instruction 476.
The underwriter of the offering was Banco Santander (Brasil) S.A. The proceeds of the offering totaled R$500,000,000.00, which will be used to pay part of the purchase price of all of the common shares issued by Cia.
The company is part of the Soma Group, which is one of the largest fashion groups in Brazil. Founded in 2010 as a result of the merger of two major brands, Animale and Farm, Grupo Soma has more than 5,300 employees and over 250 stores in Brazil.
The acquisition will rank Soma Group as the fourth largest company in the apparel industry in Brazil.
Cescon Barrieu advised the underwriter with partner Eduardo Kuhlmann Abrantes (pictured) and associates Isabella Ali Pontual Braga, Joana Vaz and Caio Almeida.
