Chediak and BZCP advise on MAG Investimentos deal
Chediak e Cristofaro Advogados and Bronstein, Zilberberg, Chueiri e Potenza Advogados (BZCP) advised on Mongeral Aegon Investimentos’ acquisition of 100% of the quotas of Mongeral Aegon Ativos Estruturados, formerly MRB Capital Gestora de Recursos. Chediak advised the buyer, while BZCP represented the sellers.
Mongeral Aegon Investimentos, operating under the MAG Investimentos brand, acquired the asset manager, which is authorized by Brazil’s securities regulator CVM. The sellers were US-based MCA Incorporation LLC, which held a 55% stake, alongside Brazilian entities Mass Consult, with 30%, and SF 965F Participações Societárias, with 15%.
The transaction was structured in two stages. An initial transfer of quotas took place in February 2026 under a put and call option instrument, followed by a definitive quota purchase agreement signed on 26 June 2026, which established the final price and terms of the deal. The financial terms were not disclosed.
As part of the transaction, management of a portfolio of ten investment funds, mostly FIC FIDCs investing in receivables and previously managed by the sellers and their affiliates, was transferred to the target. The individuals responsible for the funds were also engaged by the target as statutory officers and minority quotaholders.
