Cleary Gottlieb acts on Buenaventura’s $650M Bond Offering
Cleary Gottlieb has advised BTG Pactual and J.P. Morgan as initial purchasers in the $650 million global bond offering by Compañía de Minas Buenaventura (Buenaventura), Peru’s largest publicly traded precious metals mining company. The firm also represented the banks as dealer managers in Buenaventura’s concurrent tender offer, solidifying its role in high-stakes financial transactions in Latin America.
The transaction involved a Rule 144A/Regulation S offering of $650 million in 6.8% senior notes due 2032, alongside a tender offer to purchase for cash all of Buenaventura’s outstanding 5.5% senior notes due 2026.
The offering launched on January 23, 2025, priced on January 30, and settled on February 4, while the tender offer expired on January 29 and also settled on February 4. The new notes are expected to be listed on the Singapore Exchange Securities Trading Limited.
