Cleary Gottlieb represents Vista Argentina on $500M offering
Cleary Gottlieb has advised Vista Energy Argentina in its offering of $500 million 7.875% senior notes due 2038. The offering launched on March 30, 2026, was priced on April 1, 2026, and is expected to close on April 8, 2026.
The offering was structured as a private placement in the U.S. under Rule 144A and an offshore offering in reliance on Regulation S. The notes are expected to be listed on the Bolsa y Mercados Argentinos (BYMA) and admitted for trading on the BYMA and on the A3 Mercados.
Vista Argentina is a major shale oil-focused company, an independent oil producer in Argentina’s Vaca Muerta region, and has been active in the exploration and production of oil and natural gas in the country since 2018. The issuer is a subsidiary of Vista Energy S.A.B., a Mexican publicly traded corporation with shares listed on the Mexican Stock Exchange and ADSs listed on the New York Stock Exchange.
