Cleary Gottlieb steers Nexa Resources’ $500m notes issuance
Cleary Gottlieb has represented Latin America-focused zinc mining company Nexa Resources on a $500 million notes offering.
The offering comprised 6.500 per cent senior unsecured notes due 2028, and which are fully and unconditionally guaranteed by Nexa Resources Cajamarquilla, Nexa Resources Perú, and Nexa Recursos Mineraia.
The notes were offered in a private placement in the US pursuant to Rule 144A and outside of the US pursuant to Regulation S. The offering launched and priced on June 15, 2020, and closed on June 18.
The net proceeds of the offering will be used to repay a portion of Nexa’s existing financial indebtedness and the remainder, if any, for general corporate purposes, the law firm said.
Nexa is a large-scale, low-cost integrated zinc producer with more than 60 years’ experience developing and operating mining and smelting assets in Latin America. Cleary previously represented Nexa in its SEC-registered, dual-listed initial public offering in 2017.
