CMS Rodríguez-Azuero advises JCHX Mining on the acquisition of Colombia’s copper project

CMS Rodríguez-Azuero served as local counsel to JCHX Mining Management in the acquisition of a controlling interest in Minerales Córdoba and Exploradora Córdoba, indirect owners of Cobre Minerals, which holds the mining rights to the Alacrán Project, the largest copper mining development currently underway in Colombia.

With JCHX Mining Management and its seasoned co-investors jointly committing over USD 400 million, the company is now set to move forward with exploration and exploitation efforts at the Alacrán Project, reinforcing its role in Colombia’s mining sector and supporting the country’s competitiveness in international markets.

The transaction, signed on May 8, 2025,  involves a corporate reorganization in which JCHX will hold the project’s control and operate it along with a co-investing consortium, marking a significant milestone for the Colombian mining sector, reflecting both the country’s potential in strategic minerals and the growing confidence of international investors in its business environment.

The transaction was led by CMS partners Juan Camilo Rodríguez (pictured right) and Daniela Vergel (pictured left), with key contributions from associate Director Felipe Molano and Associate Juan Camilo Uribe. The team provided comprehensive legal advisory services, conducting a detailed due diligence review of the target companies and their main mining projects in Colombia.

CMS also provided legal advice in connection with the antitrust clearance analysis for the transaction and its parties, conducted by partner Lorenzo Villegas and associate Álvaro Enrique Macías.

The complexity of the transaction was amplified by the need for seamless coordination between legal teams in China and Canada, alongside close collaboration with Hogan Lovells Beijing, which acted as lead counsel to the buyer.
