Cuatrecasas counsels Yinson on green financing
Cuatrecasas, through its Lima office, has advised Yinson Renewables, a global leader in renewable energy generation, in obtaining green financing from Natixis and IDB under New York law.
The funds will be used for the construction and operation of the 97MWp Matarani solar photovoltaic plant. This project, located in Arequipa, is key to Peru’s energy transition process.
The financing was completed in a single disbursement on December 13, 2024, with Natixis New York Branch acting as administrative agent and Scotiabank Peru as Peruvian collateral agent and trustee.
The advice involved support with the structuring and negotiation of the transaction, including the implementation of the Peruvian guarantees, which included, among others, collateral on shares and accounts and asset and cash flow trusts. The firm also advised on the execution of hedging contracts under the ISDA 2002 Master Agreement to mitigate the risks of the transaction for the benefit of the lenders.
Garrigues assisted Natixis and IDB through a team comprising partner Diego Harman, together with associates Carolina Perez-Taiman, José Ignacio Porto, Giancarlo Vignolo and Rodrigo Ramos.
