Demarest advises Jive and 499 Group in two transactions

Demarest Advogados advised Jive Asset Gestão de Recursos, 499 Participações and 499 Solar Energias Inteligentes (both “499 Group”) in the legal structuring and implementation of a funding structure through the 1st issuance of non-convertible debentures, in a single series, of Vega Solar, for a total amount of BRL 71,900,000.00, in favour of JER II Fundo de Investimento em Direitos Creditórios, a receivables investment fund also managed by Jive and administered by Banco Daycoval.

Vega Solar will allocate the funds raised with the debentures in the implementation of photovoltaic power generation projects to be developed by Vega Solar in the Brazilian states of Minas Gerais and Rio de Janeiro.

In addition to the debentures issuance, the funding structure is composed of a private equity fund, of category infrastructure, Vega Solar Fundo de Investimento em Participações – Infraestrutura, that raised BRL 35,061,000.00, also managed by Jive and administered by Daycoval, whose purpose is to invest in Vega Solar, through the acquisition of the totality of shares issued by Vega.

The resources contributed to Vega by the Fund will also be allocated in the implementation of the Projects. Both deals were structured and implemented by Demarest’s capital markets and investment funds team.
