Demarest advises on Brazil, Chile deals
Demarest has advised on a number of deals in Brazil and Chile, in the logistics, home improvement and home entertainment sectors.
The law firm advised Canadian private equity firm Classroom Investments Inc. in the sale of its shares in Brazilian logistics and shipping company MLog to EIG Manabi Holdings, a Brazilian mining and logistics company. EIG Manabi Holdings also acquired shares in MLog from Irish investment firm Longloaf Partners International Fund and Longloaf Partners Global UCITS Fund. In total, the acquisition represents 11.99 per cent of MLog’s capital stock, and EIG Manabi now holds an 18.51 per cent stake in MLog.
The Demarest lawyers engaged in the deal were partners Thiago Sandim and Christiano Chagas, and associate Betina Castellanos and senior associate Felipe Volpini.
Also in Brazil, Demarest advised Chilean retail company SACI Falabella on the acquisition of the remaining 35 per cent of Brazilian building supplies and home improvement chain Construdecor from Dimitrios Markakis, for approximately $60mn. The Chilean company now has 100% ownership in the Brazilian home improvement retailer.
SACI Falabella first bought a stake in Construdecor in 2013, with the acquisition of 50.1 per cent of the company, which has 57 stores in Brazil and annual sales of $282mn.
The Demarest lawyers advising Falabella in Brazil were partner Thiago Sandim and senior associate Betina Castellanos.
Demarest advised French board game manufacturer Asmodee, creator of such games as ‘When I Dream’ (pictured) in the acquisition of 100% of Brazilian boad game creator Galápagos Jogos from its founders. Galápagos is the exclusive licensor of many of its games in Brazilian territory.
