Demarest advises Tepeyac on the acquisition of Spaço Agrícola
Demarest Advogados advised Fertilizantes Tepeyac (through its Brazilian subsidiary, Tepeyac Brasil Participações) on the acquisition of 70% of the shareholding of Spaço Agrícola from Carlos Gomes de Oliveira, Volneimar Lacerda de Oliveira, Marlos Stival Leal and Philemon Martins Costa Neto.
Through this transaction, Tepeyac will also indirectly acquire Spaço Agrícola Piracanjuba and Spaço Agrícola Jataí.
The main activities of the target companies are the wholesale trade of pesticides, fertilizers, seeds, legumes and soil correctives, among others. In the future, provided certain requirements are met, Tepeyac will have a call option and the sellers will have a put option to sell the remaining 30% of the equity stakes in the target companies.
