Demarest and Trench Rossi advise on EDF–Neoenergia deal
Demarest advised EDF Brasil Hidro Participações, Trench Rossi Watanabe advises Neoenergia on the sale of its stake in Energética Águas da Pedra (EAPSA), owner and operator of the Dardanelos Hydroelectric Plant, located on the Aripuanã River (MT), with an installed capacity of 261 MW, to EDF Brasil Hidro Participações (EDF Brasil), a company to be owned by EDF Brasil Holding (with 75% of the total capital) and Neoenergia (with 25% of the total capital).
The transaction has an enterprise value of R$ 2.5 billion. EDF may acquire Neoenergia’s stake within two and a half years after the transaction is completed, during which time Neoenergia may also sell its entire stake to a company in the EDF economic group.
