Diamantino and Demarest advise on Engie unit sale
Diamantino Advogados Associados provided legal advice to French holding company BCR-I Holding on its acquisition of a group of subsidiaries belonging to Engie’s solutions business in Brazil. Demarest Advogados, meanwhile, represented seller Engie Brasil Soluções Participações on the transaction, which was formalized through a Share Purchase Agreement and Other Covenants.
The companies covered by the deal include Engie Brasil Soluções Integradas (EBSI), Engie Consultoria e Gestão de Energia (ECE), Engie Gerenciamento de Energia (EGE), Engie Aluguel e Comércio de Equipamentos, Engie Brasil Serviços Aeroportuários (EBSA), Engie Brasil Serviços Aeroportuários Guarulhos (EBSA Guarulhos) and Engie Soluções de Comercialização de Energia (ESCE). Through the acquisition, BCR-I gains control of EBSI’s operations at the airports of Guarulhos, Fortaleza, Porto Alegre and Brasília, along with the group’s energy-efficiency consulting business.
Diamantino’s team acting for the buyer was led by partner Eduardo Diamantino and Matheus Cannizza, who handled the legal aspects of the transaction on behalf of BCR-I. Lawyers João Eduardo Diamantino, João Vitor Bilharinho and Mariana Visconti also worked on the matter.
On the seller’s side, Demarest’s team was led by partners Julia Visconti and André Novaski, with associates Amanda Sette and Gabriela Luchetti also working on the deal for Engie.
