Dias Carneiro advises Affinitas on Saint Francis acquisition
Dias Carneiro Advogados advised Affinitas Bidco Limited on the acquisition of Saint Francis International School, a transaction that marks the British group’s first move into the Brazilian education market. The sellers were the school’s partners, Albertina Maria de Andrade Conde and Shirley Violet Hazell. The financial terms of the deal were not disclosed.
The operation required comprehensive legal counsel to structure the cross-border transaction and ensure regulatory and corporate compliance for the foreign investment in Brazil.
Dias Carneiro Advogados relied on partners Artur Fernandes Andrezo and Thiago Vallandro Flores, with the support of Marina Coelho de Camargo Penteado.
The sellers were advised by Savin e Paiva Advogados, while Ernst & Young acted as financial adviser to Affinitas Bidco Limited.
