Dias Carneiro advises IDB Invest in a corporate finance
Dias Carneiro Advogados advised IDB Invest on a corporate finance in the amount up to USD 14,200,000 to the Brazilian and Chilean subsidiaries of Promedon Group, namely Promedon do Brasil Produtos Médico Hospitalares and Productos Médicos Promedon Chile, as co-borrowers.
The financing had a corporate guarantee from its parent company in Spain, Promedon Life Sciences Holdings, as well as a real estate and corporate guarantee from its subsidiary in Argentina, Promedon. The Chilean company Productos Médicos Promedon Chile also granted a guarantee on bank accounts and will grant a real estate guarantee.
The financial operations team at Dias Carneiro Advogados led and coordinated the work of local lawyers in the other jurisdictions involved, Argentina, Chile and Spain, having worked with Beccar Varela (Argentina), Dentons (Chile) and DLA Piper (Spain).
The financing consists on a medium-term loan for the development of new medical products and equipment, including clinical trials and product registration in several markets. The first disbursement occured on December 20, 2024.
The Promedon Group is a leading company in the manufacturing and distribution af a high complexity medical devices especially in the areas of urology, arthroscopy, gastrointestinal endoscopy and neurosurgery and it currently operates directly in Latin America (Brazil, Chile, Mexico, and Argentina), and in Europe (Germany, Austria, Switzerland, Sweden, Spain, The Netherlands, and Portugal).
