Estudio O’Farrell and TCA counsel on YPF Green Bond
Estudio O’Farrell and Tanoira Cassagne Abogados have advised on the issuance of the first Green Bond by YPF Energía Eléctrica
Estudio O’Farrell has counselled YPF Energía Eléctrica S.A. and Tanoira Cassagne Abogados (TCA) has counselled Banco de Galicia y Buenos Aires S.A.U., Banco Santander Río S.A., and Nación Bursátil S.A., as underwriters, in the placement of the Class IX Additional Negotiable Obligations for a par value of $10,853,000 USD maturing in 2024 and the Class X Negotiable Obligations for a par value of $10,853,000 USD maturing in 2024 and the Class X Negotiable Obligations for a par value of $10,853,000 USD maturing in 2024, as underwriters, in the placement of the Additional Class IX Notes with a par value of $10,853,000 USD maturing in 2024 and the Class X Notes with a par value of $63,870,000 USD maturing in 2032, issued under the Global Programme for the Issuance of Simple Negotiable Notes (not convertible into Shares) for a maximum amount outstanding at any time of $1,500,000,000 USD.
The Class X Notes were aligned to the four main components of the International Capital Market Association’s Green Bond Principles, following the ‘Guidelines for the Issuance of Social, Green and Sustainable Marketable Securities in Argentina’ and the Social, Green and Sustainable Bond Guidelines of the Panel of Bolsas y Mercados Argentinos S.A. (ByMA).
The Class X Notes were authorised for listing on the Green Bond Panel of ByMA and for trading on the Mercado Abierto Electrónico S.A. (MAE).
The Additional Class IX Notes have been authorised for listing on the MAE. YPF Energía Eléctrica S.A. is an electricity generation and commercialisation company, subsidiary of YPF S.A. (75.01% of the share capital). (75.01% of the share capital) and GE EFS Power Investments B.V. (24.99% of the share capital).
