FreitasLeite advise on the issuance of FIDC Somacred Sabemi
FreitasLeite has acted as deal counsel in the issuance and public offering of the 1st series of senior shares issued by the single class of the Fundo de Investimento em Direitos Creditórios Somacred Sabemi Consignado Público III, exclusively to professional investors, under the automatic registration regime, pursuant to CVM 160, in the total amount of BRL 475 million.
The offering was coordinated by BTG Pactual Investment Banking. The Fund also issued its 2nd series of mezzanine shares in the amount up to BRL 200 million, subject to a private placement.
The Fund is a closed-ended credit fund aimed at acquiring receivables originated by Sabemi Seguradora S.A. and Sabemi Previdência Privada. The Fund is administrated by BTG Pactual PSF. BTG Pactual Asset Management and Somacred Asset serve as investment manager and co-investment manager, respectively. Somacred Consultoria is responsible for credit consulting services to the Fund.
