Garrigues counsels BBVA Colombia on shares issue and tender offer
Garrigues has counselled Banco Bilbao Vizcaya Argentaria Colombia (BBVA) on the approval and issuance of 3,401 million ordinary shares, a tender offer aimed at supporting the bank’s growth and ensuring efficient use of capital.
The transaction, signed in August and closed in September, was for COP918,280,000,000 (approx. USD224,000,000) and was authorised by Resolution No. 1531 of the Superintendencia Financiera de Colombia.
The legal structuring involved four simultaneous filings with the Superintendencia Financiera, requiring perfect coordination and communication with several teams within BBVA Colombia.
