Gonzalez Calvillo has advised Accial Capital Management in the financing of USD $20,000,000.00 to Minu, an innovative financial company in Mexico in the “salary on demand” sector, to finance the origination of its loans.
The transaction was closed on 23 June and involved participating companies from a sophisticated sector in two different jurisdictions (Mexico and New York). As a result, the structure was extensively negotiated and required adjusting and matching various foreign law concepts within the legal framework of the transaction.
In addition, the consultancy involved implementing an intrinsic collateral package in the form of a management and payment source trust to which Minu’s collection rights are contributed. In addition, complex contractual arrangements were put in place between all parties to document their relationship.
