Gómez-Pinzón Abogados acts on Ecopetrol process to acquire renewable energy project platform in Colombia
Gómez-Pinzón Abogados has counseled Ecopetrol in a competitive process to acquire a renewable energy platform in Colombia with a total installed capacity of 1.3 GW, comprising both solar and wind energy assets. The platform includes an operational photovoltaic plant with a capacity of 102 MWac, along with a portfolio of projects at various stages of development and operation.
The transaction entails the acquisition of ten companies involved in the development and operation of solar and wind projects across Colombia, holding a total of nine renewable energy projects located in various jurisdictions. Closing of the deal is subject to standard conditions precedent for transactions of this nature, including regulatory approvals expected in the coming months.
The sellers were Enerfin Sociedad de Energía and Enerfin Enervento Exterior, both subsidiaries of Statkraft, an international energy company currently pursuing a divestment strategy across the region and other jurisdictions.
Gómez-Pinzón Abogados provided legal counsel including extensive due diligence of all companies and projects involved in the transaction, structure of the transaction both from a regulatory and corporate perspective, drafting and negotiation of complex transaction documents to govern the transaction and negotiation and put in place of R&Ws insurance policy.
