Gómez-Pinzón advises Grupo 3 Castillos on Pasta and Corn Flour Asset Sale

Gómez-Pinzón has represented Grupo 3 Castillos on the sale of all assets related to its pasta and corn flour production business, including two manufacturing plants in Barranquilla, Colombia, to multinational food conglomerate Empresas Polar.

The deal, closed on April 2, 2025, included the transfer of real estate, trademarks, sanitary registries, and other permits, as well as the assignment of intangibles both in Colombia and abroad. The transaction also required the execution of new labor contracts with employees and the approval of the Colombian antitrust authority.

The acquired assets expand Empresas Polar’s industrial capacity in the Caribbean region of Colombia, positioning the company to better serve local clients and increase exports to Central America, the Caribbean, and the United States.

Grupo 3 Castillos, founded in 1861 and recognized as Colombia’s oldest food company, will continue to operate its wheat flour processing plant in Cartagena and retain brands such as 3 Castillos, Vitalbran, and Élite Pizzas.
