Gómez-Pinzón counsels Ecopetrol on acquisition in La Guajira Wind Cluster
Gómez-Pinzón has advised Colombian state-owned oil and gas company Ecopetrol on its agreement to acquire a 49% stake in the Jemeiwaa Ka’I wind cluster from AES Colombia & CIA, marking a major move in Ecopetrol’s energy transition strategy.
The transaction is structured under an investment framework agreement between Ecopetrol and AES Colombia, subject to precedent conditions and legal approvals. Upon fulfillment of these requirements, Ecopetrol will formalize its entry into the wind power sector through this acquisition.
The Jemeiwaa Ka’I wind cluster is located in Uribia, La Guajira, and comprises a portfolio of wind projects with an estimated generation capacity of 1,087 MW, as well as a 35 km transmission line.
This US$48 million deal underscores Ecopetrol’s diversification efforts into renewable energy sources, aligning with broader sustainability goals within Colombia’s energy landscape.
The Gómez-Pinzón team was led by partner Ana Cristina Jaramillo (pictured), with support from senior associate Andrea Stephanou Cruz, associate John Rojas Melo, and junior associate Bernardo Cárdenas, all from the firm’s M&A and Corporate practice group.
Baker McKenzie advised the seller, AES Colombia, with partner Natalia Ponce de León leading the counsel.
