Gómez-Pinzón steers CEMEX on the completion of its Colombian stakeholding
Gómez-Pinzón has counselled Cemex España on the acquisition of the Cemex Latam Holdings shares listed in the Colombian stock exchange
Gómez-Pinzón acted as counsel to Cemex España, S.A. in the tender offer made by CEMEX España for any and all outstanding ordinary shares of Cemex Latam Holdings, S.A. listed on the Colombian stock exchange – except for those shares owned by CEMEX España or CLH.
The offering purchase price per ordinary share was COP$3,250. CEMEX España acquired a total of 108,337,613 outstanding ordinary shares of CLH through the tender offer for an aggregate amount of more than $100 million (COP$352,097,242,250), increasing its participation in CLH from 73.16% to 92.60%.
Uría Menéndez acted as Spanish counsel to CEMEX España, and Skadden, Arps, Slate, Meagher & Flom advised CEMEX España in connection with New York law matters.
