Guerrero Olivos and Muñiz on sale of Explomin Perforaciones to Major Drilling
Different firms have advised on the acquisition of Explomin Perforaciones in favour of Major Drilling Group International, a Canadian mining drilling company, for USD $85 million.
Guerrero Olivos advised Major Drilling in Chile and Estudio Muñiz advised Explomin Perforaciones in Peru. Other participating firms were McCarthy Tétrault and Norton Rose in Canada, as well as Payet Rey Cauvi Pérez and AZ from Peru and Chile, respectively.
The transaction was completed on 5 November and involved legal due diligence advice, followed by the drafting and closing of the sale and purchase agreements, which required a number of complexities and challenges, especially in relation to the deadlines set by the parties to close the transaction.
