Hdz & Cía and Simpson Thacher advise Aenza on tender offer by IG4

Hernández & Cía Abogados and Simpson Thacher & Bartlett have represented Aenza in a tender offer made by IG4 Capital

 Hernández & Cía. Abogados and Simpson Thacher & Bartlett, advised Aenza S.A.A. (formerly Graña y Montero S.A.A.) in the unsolicited public offer made by IG4 Capital to acquire ordinary shares, including ordinary shares represented by ADSs, of Aenza, through concurrent public offerings in the United States and Peru.

IG4 acquired 12.29% of the ordinary shares and ADSs of Aenza in the tender offer. As a result of the tender offer, together with other transactions, including voting arrangements, IG4 now controls 33.9% of the voting power of Aenza’s ordinary shares.

Aenza is one of the main construction, infrastructure and real estate platforms in Peru, with presence in investments in the region, especially in Chile, Peru and Colombia. Aenza’s ADSs are listed on the New York Stock Exchange under the symbol “AENZ” and its ordinary shares are listed on the Lima Stock Exchange under the symbol “AENZAC1”.

IG4 Capital is a Brazilian private equity firm with several investments in the region, dedicated to managing alternative investments, with a focus on private investments in public securities and private credit. They specialise in rescuing companies and helping institutions with the objective of turning around businesses. IG4 was established in 2014 and currently manages over $700 million in assets globally.
