IW Melcheds advise on the acquisition of UniFG by Ânima
IW Melcheds advised CESG – Centro de Ensino Superior de Guanambi, the entity that maintains Centro Universitário FG (UniFG), which had the remaining 45% of its share capital acquired by Inspirali Educação, a subsidiary of Ânima Holding.
The transaction, valued at R$ 88.9 million, was executed through Insegnare Educacional, and grants Inspirali full ownership of UniFG.
The consideration comprised the assumption of R$ 82.2 million in obligations owed by the sellers to CESG, with no cash impact, plus a cash payment of R$ 6.7 million. In addition, sellers received R$ 23.5 million in dividends related to retained earnings from 2024 and the first half of 2025. The agreement also provides for a potential earn-out of up to R$ 500,000 per additional medical seat, subject to regulatory approval, payable between 2026 and 2027.
With this acquisition, Inspirali strengthens its position as one of Brazil’s largest medical education ecosystems. It now operates 15 institutions across state capitals and regional hubs, offering 1,892 authorized annual seats in medicine and serving about 12,100 students. UniFG itself has two campuses in Bahia, with 100 authorized medical seats and approximately 3,800 students. Inspirali also manages a robust continuing medical education platform, with postgraduate programs in over 30 specialties, Fellowships, and partnerships with leading healthcare brands.
