IW Melcheds advises Heat Group on the acquisition of Forneria San Paolo
IW Melcheds Advogados advised Heat Group, a food service holding founded by former Burger King executives, on the acquisition of 75% equity interest in Forneria San Paolo, a renowned São Paulo-based restaurant brand previously controlled by the Diniz family, which was advised by Madrona Advogados.
The transaction, whose value remains confidential, was structured in partnership with existing and new investors and represents a strategic step in the group’s expansion within the premium casual dining segment.
This acquisition forms part of Heat Group’s broader strategy to strengthen its position as a leading operator in the experiential dining sector, following its earlier investment in the Churrascada brand. The deal also encompasses a brand repositioning plan and signals a new growth phase for Forneria San Paolo, which is set to celebrate its 25th anniversary.
