Lefosse acts in Telefônica Brasil’s agreement with CDPQ

Lefosse Advogados acted as advisor to Telefônica Brasil group that entered into agreements with Caisse de dépôt et placement du Québec and with Telefónica Infra, S.L.U. (“TEF Infra”), a company based in Spain, 100% owned by Telefonica S. A. which has the same controlling shareholder as Telefônica Brasil S.A. (“Vivo”), to build, develop and operate a neutral and independent wholesale fiber optic network in Brazil with the creation of FiBrasil Infraestrutura e Fibra Ótica AS.

The terms of the Transaction represent a total investment by CDPQ of up to R$1.8 billion (including payments to Vivo and contributions to FiBrasil) in exchange for a 50% stake in FiBrasil and also payments to be made by TEF Infra, on equivalent economic terms, for a 25% stake in the new company.

The Lefosse team was composed of the partners: Mirella Mie Abe, Ricardo Prado, Mauricio Paschoal, Ricardo Bolan, José Carlos Berardo (in the image from the left to right) and associates: Rodrigo Cunha, Pedro Simões, Douglas Fukuhara, Sarah Cellim and Dante Zanotti.

Also participating in the action were Machado Meyer Advogados as legal advisor to CDPQ, Pinheiro Neto Advogados as tax advisor to Vivo.
