Lefosse acted as legal counsel to Mosaic Fertilizantes P&K, an indirect subsidiary of The Mosaic Company, a global agricultural fertilizer company based at USA, in the structuring of a joint venture
with CdV Holding (Casa dos Ventos) for the operation of wind power plants located in Rio Grande do Norte, which will provide and supply 30MegaWatts medium (MWm) of electric power to Mosaic for a 14-year period, counted from 2026.
The deal involves (a) a call option, granted by Casa dos Ventos to Mosaic, for the acquisition of equity interest in two special purpose vehicles (sociedades de propósito específico), Ventos de São Canuto IV Energias Renováveis and Ventos de São Jeremias Energias Renováveis (SPEs); and a power purchase supply agreement, pursuant to which the SPEs shall supply certain amount of wind generated power to Mosaic. The purpose of the SPEs is to develop and operate certain wind power generation plants located at the Umari Wind Complex, in the State of Rio Grande do Norte, with total installed capacity of 202,5MW.
Lefosse advised Mosaic Fertilizantes P&K, the transaction was led by partners Pedro Dante and Carla Gorescu, and partner Juliana Daniel with the assistance of associates Carolina Delamare, Gregory Campos, Priscila Garcia, Humberto Brito and Astrid Rocha.
Mosaic Fertilizantes P&K had yet in-house counsel Murici Martins.
