Lefosse advise on GNR Lara Espírito Santo comercial notes issue
Lefosse acted as deal counsel in the first issuance of commercial notes, in a single series, for public distribution, under the automatic procedure, in accordance with CVM 160, of GNR Lara Espírito Santo, in the total amount of BRL 50 million.
The issuance was coordinated by Banco Bradesco BBI and UBS BB Banco de Investimento. The proceeds will be used by the issuer for the implementation, construction, commissioning, and operation of a industrial plant for the purification of biogas generated by a landfill located in the City of Vila Velha, State of Espírito Santo.
The commercial notes were secured by the following security package: a fiduciary assignment of receivables; fiduciary assignment of shares issued by the issuer; and corporate guarantee granted by Gasbio Lara.
CTRVV Participações, Morro Holding MDC I Fundo de Investimento em Participações Multiestratégia, MDCPAR Ecometano Empreendimentos, acted as the shareholders of the issuer.
