Lefosse advises GIC – Aurora Investment on primary investment in Warren Cayman
Lefosse Advogados advised GIC Special Investments Pte. Ltd, lead investor in a primary investment in Warren Cayman Ltd.
Team Lefosse acted as counsel to GIC Special Investments Pte Ltd. (and Aurora Investment Pte. Ltd. a Singapore company affiliated), lead investor in a primary investment in Warren Cayman Ltd. through the acquisition of newly issued Series C preferred shares.
Because Warren has entities incorporated in other jurisdictions, this deal involved working in conjunction with Delaware law and Cayman counsels, as well as negotiating and executing the customary documents in this type of venture capital deal.
In addition, some provisions were negotiated in a side letter executed between GIC and Warren, rather than in the main financing agreements.
